Terms and Conditions

1. Acceptance of These Terms
These Terms and Conditions ("Terms") form a legal agreement between you and GrowthEstate ("GrowthEstate", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of a company, partnership, property management business, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Eligibility
You must be legally capable of entering into a binding agreement to use the Services. You may use the Services only in compliance with applicable laws and only for lawful tenancy-management, document, and compliance-related purposes.
3. The Services
GrowthEstate provides software tools for Ontario landlords and related users, which may include:
- property and unit management;
- tenant and lease recordkeeping;
- generation of lease templates and related documents;
- e-signature workflows;
- notice and LTB form preparation support;
- document storage and audit trails; and
- informational compliance features.
The Services are designed to assist with landlord operations. They do not replace independent legal judgment.
4. No Legal Advice; No Paralegal-Client Relationship
The Services, including any automation, rules engines, filing checklists, AI-assisted outputs, clause flags, compliance warnings, or document suggestions, are provided for general informational and workflow-support purposes only. They are not legal advice, do not create a solicitor-client or paralegal-client relationship, and are not a substitute for advice from a qualified lawyer or licensed paralegal.
You are solely responsible for determining whether any lease, notice, filing, service method, date calculation, or legal action is appropriate for your circumstances. You should obtain professional legal advice for matters involving disputes, hearings, litigation, evictions, human rights issues, complex service questions, or any high-risk scenario.
5. Account Registration and Security
To use certain features, you may need to create an account or sign in using a third-party login provider such as Apple or Google. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You must promptly notify us if you suspect unauthorized access to your account or a security incident involving the Services.
6. User Responsibilities
You agree that you will:
- provide accurate and current information;
- maintain the accuracy of property, tenant, unit, lease, and filing information entered into the Services;
- use the Services only for lawful purposes;
- ensure you have the right and legal authority to upload personal information, create documents, request signatures, and send notices;
- verify all generated documents, calculated dates, and filing materials before use, service, signing, or submission;
- comply with all applicable laws, including tenancy, privacy, anti-spam, consumer protection, and evidence rules; and
- use reasonable care to protect your account, devices, and exported records.
7. Prohibited Uses
You must not:
- use the Services for unlawful, misleading, fraudulent, discriminatory, harassing, or abusive activity;
- upload malware, malicious code, or harmful content;
- interfere with or disrupt the Services or attempt unauthorized access;
- copy, scrape, reverse engineer, decompile, or exploit the Services except as permitted by law;
- use the Services to spam, send unauthorized marketing, or violate CASL;
- use the Services to conduct invasive profiling, social-media scraping, or unrelated surveillance of tenants or applicants;
- rely on the Services as your sole source of legal advice; or
- use the Services to set rents through algorithmic collusion or anti-competitive coordination.
8. Documents, Signatures, and Filing Workflows
GrowthEstate may allow you to generate, store, share, and send legal or quasi-legal documents. You acknowledge and agree that:
- you are responsible for reviewing all generated documents before they are sent, signed, served, or relied upon;
- document templates and compliance logic may not reflect every legal change immediately;
- legal rules can change by statute, regulation, tribunal practice direction, or proclamation;
- the Services may support filing preparation, but unless explicitly stated otherwise, GrowthEstate does not directly file documents with Tribunals Ontario or any court or tribunal on your behalf; and
- you are responsible for ensuring service, filing, and evidence procedures are valid for your matter.
9. E-Signature Provider
Certain signature workflows are powered by third-party providers, including SignWell or successor providers selected by GrowthEstate. Your use of signing features may also be subject to the applicable third-party provider's terms, privacy policy, and technical limitations.
We are not responsible for outages, delays, or failures caused by third-party e-signature providers, internet providers, app stores, hosting vendors, or other third-party systems outside our reasonable control.
10. Subscriptions, Trials, and Billing
Certain features may require a paid subscription, free trial, usage-based charges, or another paid plan. Pricing, included usage, billing intervals, renewal terms, and feature entitlements will be presented at the time of purchase or signup.
Unless otherwise stated:
- subscriptions renew automatically until cancelled;
- you authorize the applicable billing provider to charge fees, taxes, and similar amounts when due;
- fees are non-refundable except where required by law or expressly stated otherwise; and
- we may change pricing or plans on prospective notice.
If you subscribe through the Apple App Store or another marketplace, billing, cancellation, and refund processes may be governed in whole or in part by that marketplace's terms.
11. Beta Features and Future Features
From time to time, we may offer beta, pilot, preview, or experimental features, including AI-assisted features. These may be incomplete, unstable, inaccurate, unavailable in some regions, or subject to additional terms.
We may modify or discontinue features at any time.
12. Intellectual Property
The Services, including software, branding, design, text, graphics, workflows, and content created by GrowthEstate, are owned by or licensed to GrowthEstate and are protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal lawful business or personal tenancy-management purposes.
Except as expressly permitted, you may not reproduce, distribute, modify, sell, lease, sublicense, or create derivative works from the Services.
13. Your Content
You retain your rights in the data, documents, and materials you submit to the Services ("User Content"). You grant GrowthEstate a limited license to host, store, reproduce, process, transmit, and display User Content as necessary to operate, secure, support, improve, and provide the Services, to comply with law, and to enforce these Terms.
You represent and warrant that you have all rights necessary to provide User Content and that your User Content does not violate applicable law or third-party rights.
14. Privacy
Our collection, use, disclosure, and handling of personal information is described in our Privacy Policy, which forms part of these Terms.
15. Availability and Changes
We may update, modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted, error-free, or always-available service.
We may also impose usage limits, storage limits, feature restrictions, or security-related controls.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GROWTHESTATE DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, NON-INFRINGEMENT, AND RESULTS OBTAINED FROM USE OF THE SERVICES.
Without limiting the foregoing, GrowthEstate does not warrant that:
- the Services will be error-free, secure, or uninterrupted;
- the Services will always reflect the latest law, form, tribunal practice, or government interpretation;
- any generated document will be legally sufficient for your use case;
- any filing, service method, or evidence package will be accepted by Tribunals Ontario or another authority; or
- any AI-assisted output will be accurate, complete, or appropriate.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROWTHESTATE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR LEGAL POSITION, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GROWTHESTATE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO GROWTHESTATE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; AND (B) CAD $100.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
18. Indemnity
You agree to defend, indemnify, and hold harmless GrowthEstate and its directors, officers, employees, affiliates, contractors, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement of any third-party rights.
19. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk for us or others, or used the Services unlawfully.
You may stop using the Services at any time. Termination does not relieve you of obligations that accrued before termination.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Subject to applicable law, you agree that the courts located in Ontario will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless we choose another lawful forum for injunctive or equitable relief.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the "Last Updated" date. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.
22. General
These Terms, together with our Privacy Policy and any additional policies or plan terms we provide, are the entire agreement between you and GrowthEstate regarding the Services.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver.
You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, reorganization, sale, or transfer of assets.
